Insolvency Services

Company

We offer business recovery and formal insolvency options to companies who find themselves in difficulties or are simply looking to restructure or reorganise their current businesses.

The available options range from formal procedures such as Administrations and Company Voluntary Arrangements to informal arrangements and refinancing.

Creditor Services

Oury Clark is a firm of Chartered Accountants with offices in and around London. We are ideally placed to attend to the needs of creditors in and around the South East.

We will attend and report on the conduct of creditors meetings for any creditor who wishes to ensure that their interests are looked after.

Often recoveries result from setting aside transactions undertaken by parties controlling the assets such as Transactions at an Undervalue, Preferences, Transactions Defrauding Creditors, which are not in the best interests of creditors. We would additionally look for hidden assets, antecedent transactions, wrongful or fraudulent trading and various forms of misfeasance or breaches of duty to see if further recoveries were possible.

Individual

In relation to personal insolvency (be it as a sole trader or in a partnership), where bankruptcy is unavoidable we will explain the duties of a bankrupt but it may be possible to avoid bankruptcy by way of an individual voluntary arrangement. We can arrange a members voluntary liquidation where the company is solvent so that an early distribution to creditors can be made.

We can also act as administrative receiver for debenture holders who wish to place a company into administrative receivership if they are experiencing financial problems with a debtor company.

Customs Duties

All goods imported into the EU will be subject to Customs procedures, and import duty and VAT may be payable before the goods are allowed into free circulation.

Tax planning for non-domiciled UK residents

Although Finance Act 2008 introduced some wide ranging changes to the taxation of UK tax residents with an overseas domicile there are still tax planning advantages to be enjoyed particularly for those who have been resident here for 7 years or less.

  • Exposure to Inheritance Tax limited to UK situs assets for first 16 years of being a UK tax resident

Tax Planning for Non-UK Domiciles

As with most offshore tax planning, it is preferable to get the structure in place as early as possible, so that as much as possible of future value created can be sheltered, as far as it is possible to do so legitimately.

Examples of advantages to be enjoyed by non-UK domiciliaries are:

  • No UK Income Tax on income arising outside the UK unless the income is remitted here.
  • Assets settled in Trust before becoming a UK resident can remain outside of the UK Estate for Inheritance Tax purposes.

Often it is anonymity that is just as important, if not more important, than tax issues when dealing with international structures.

It is the professional advisor’s nominee entities that will appear on public information records such as Company Registries.

However, it is important to note that we only deal with genuine tax planning opportunities with commercial viability. We will not get involved in tax evasion or non-disclosure where disclosure is required by law. While nominee facilities may provide anonymity to the public at large, the regulators of most low tax jurisdictions will demand to know the beneficial owners of entities residing in their jurisdictions.
