Overview of the role
This role involves advising clients on a full spectrum of corporate transactions and governance matters. Acting as a trusted advisor to business owners, investors, and company boards, you will manage complex transactions from inception to completion while contributing to the firm’s growth and mentoring junior team members. The position offers autonomy, direct client contact, and a clear route to partnership for the right individual.

Key Responsibilities

  • Advise on a broad range of corporate law matters, including:
    o Mergers and acquisitions (share and asset deals, primarily for SMEs and mid-market clients)
    o Corporate restructurings, reorganisations, and demergers
    o Shareholder and joint venture agreements
    o Company incorporations, share capital matters, and governance issues
    o Investment transactions, including private equity and venture capital deals
  • Demonstrate experience advising on UK employee share schemes, including EMI, ESOP and unapproved option plans.
  • Drafting, implementing and managing equity incentive arrangements in compliance with all statutory requirements.
  • Draft, review, and negotiate share purchase agreements, disclosure letters, investment agreements, and related transactional documentation.
  • Lead due diligence exercises and manage all stages of corporate transactions.
  • Build and maintain strong, long-term client relationships, providing commercially focused, solution-oriented advice.
  • Identify and pursue business development opportunities, including cross-referrals within the firm.
  • Supervise, mentor, and support junior solicitors and trainees.
  • Work closely with partners to grow the firm’s Corporate practice and contribute to strategic objectives.

Key Requirements

  • Qualified Solicitor (England & Wales) with 6+ years’ PQE in corporate law with pathway to partnership.
  • Proven track record advising on M&A, corporate governance, and restructuring.
  • Strong technical drafting and negotiation skills.
  • Excellent client-handling ability and commercial awareness.
  • Capable of managing multiple transactions and deadlines effectively.
  • Team-oriented approach with enthusiasm for contributing to a dynamic, expanding practice.
  • Experience in cross border transactions will be highly regarded.
